Company Lawyer, Capital Markets (Legal and Corporate Officer, SPVs)
Service Line: Capital Markets
Location: Amsterdam, the Netherlands
Role type: 1 year contract, 40 hours per week, Hybrid
As a Company Lawyer in our Global Capital Markets team in Amsterdam, you will support complex capital markets and structured finance transactions under Dutch law.
You'll partner with multinational clients and internal stakeholders to help ensure entities remain in good legal standing and compliant with applicable regulation, including Wft (Wet op het financieel toezicht).
This role supports a broad range of asset classes such as bonds, ABS, RMBS, CLOs, covered bonds, (car)lease, and insurance-linked securities. You will also help strengthen our client service delivery and contribute to mentoring junior colleagues.
Key Responsibilities
  • Serve as a primary legal contact for complex clients, key clients, and complex structures within Global Capital Markets
  • Support capital markets and structured finance transactions by providing Dutch law corporate and governance guidance and documentation support
  • Ensure client entities remain in good legal standing and compliant with local and international laws and regulations, including Wft requirements
  • Assist with establishing and administering corporate, fund, and private legal structures in the Netherlands
  • Provide corporate secretarial support and transactional assistance (e.g., resolutions, filings, governance documentation, recordkeeping)
  • Maintain accurate and up-to-date statutory records and entity documentation for client portfolios
  • Help clients meet transaction and regulatory timelines by proactively coordinating legal deliverables and stakeholders
  • Act as a gatekeeper to help protect the integrity of the financial system through robust compliance-aware decision-making
  • Sustain and strengthen CSC's reputation as a proactive provider of trust and corporate services
  • Coach and support junior team members, contributing to knowledge sharing and quality standards

Required Qualifications
  • 2+ years of relevant experience in trust, financial services, or a law firm environment supporting corporate or transactional work
  • Degree in Corporate Law, Commercial Law, or equivalent
  • Strong knowledge of Dutch law and corporate governance requirements applicable to international structures
  • Experience supporting multinational clients and working confidently in an international, matrixed environment
  • Professional fluency in English (written and spoken)
  • Demonstrated ability to manage multiple priorities and deliver high-quality work in deadline-driven transactions

Preferred Qualifications
  • Experience with capital markets, structured finance, and/or securitizations (e.g., ABS, RMBS, CLO, covered bonds)
  • Client service delivery experience in a regulated professional services environment
  • Experience within a banking & finance law firm practice, bank, private equity firm, or comparable transactional setting
  • Professional fluency in Dutch (written and spoken)
