MUFG, one of the world’s leading financial groups with a rich heritage spanning over 350 years, is seeking a Vice President Leveraged Finance Legal Counsel to join their EMEA Legal team in London. As a key member of the Leveraged Finance Legal Team, you will play a pivotal role in supporting high-profile transactions across multiple jurisdictions, including the UK, US, France, DACH, and Italy. What you'll do:

  • Deliver risk-based review of leveraged finance transactions by providing clear, pragmatic, and solutions-oriented legal advice covering confidentiality agreements, grids, term sheets, loan agreements, subscription agreements, ICAs, security documentation, commitment and engagement letters, fronting agreements, hedging agreements, and legal opinions.
  • Advise on the effectiveness of security structures and enforcement options as well as the ranking and priorities of various types of creditors involved in leveraged finance transactions.
  • Offer guidance on exit strategies and restructuring options across key jurisdictions such as the UK, US, Spain, France, Italy, and DACH.
  • Act as a strategic advisor to business teams by focusing on creative solutions that enable business objectives while maintaining compliance with regulatory requirements.
  • Build effective partnerships with transaction execution teams and business colleagues to foster trust and seamless delivery of legal services.
  • Provide training sessions to business colleagues to enhance their understanding of leveraged finance structures and associated legal risks.
  • Drive initiative and innovation by developing frameworks within leveraged finance aimed at increasing efficiency and simplifying processes.
  • Collaborate closely with wider EMEA and international legal teams to ensure seamless service delivery as One MUFG while promoting mutual learning and knowledge exchange.
  • Participate actively in working groups, projects, and committee meetings at MUFG to contribute your expertise towards organisational goals.
  • Mentor junior colleagues within Legal EMEA and leveraged finance business teams by sharing accumulated knowledge and experience.

What you bring:

  • Qualified solicitor in England & Wales or another jurisdiction such as Continental Europe (France/Germany), Australia, New Zealand, Canada or New York with university-level qualifications or equivalent.
  • Extensive experience as a structured finance lawyer gained either in private practice with a major law firm or in-house at a significant financial institution or sponsor active in leveraged finance markets.
  • Demonstrated commercial awareness of current market issues and regulatory changes affecting leveraged finance structures.
  • Solid technical understanding of leveraged finance documentation including common security packages along with familiarity with European and US LF transactions.
  • Ability to simplify complex concepts for business stakeholders while pinpointing key risks in documentation using a risk-based approach.
  • In-depth knowledge of case law underpinning leveraged finance transactions coupled with specialist advice on highly complex issues posing significant financial or reputational risk.
  • Confidence functioning independently whilst recognising when escalation is required for matters outside legal risk appetite.
  • Awareness of market developments including sponsor trends plus understanding cross-border enforcement/restructuring topics (preferred).
  • Coaching mindset with aptitude for disseminating knowledge among colleagues alongside strong familiarity with AI solutions applicable to work product (preferred).
  • French/Italian/Spanish language proficiency (preferred) plus excellent Microsoft Office skills.
