Debt Finance at Goodwin
Goodwin’s Debt Finance group represents private equity firms, corporate borrowers, hedge funds and financial institutions in connection with junior and senior debt financings for leveraged buyouts, recapitalizations and other strategic transactions across a range of industries.
The Role
This is an excellent opportunity for a law graduate (or equivalent) to further a career in the finance law sector.
This is on a maximum fixed term 12 month contract.
Responsibilities
Responsibilities include, but are not limited to:

Running of the conditions precedent process from start to finish. This will include liaising with the client and solicitors acting for the other side, and ensuring that the transaction is progressing smoothly.

Hosting conditions precedent calls with all parties in order to update on the status of the transaction.

Drafting and reviewing key documentation, such as corporate authorisations, fee letters, consent letters and security documents.

Dealing with third parties to ensure that all issues are being addressed in a timely manner.

Overseeing final completion matters, including compiling documents for signature, and organising and attending signing meetings.

Carrying out post-completion matters such as registration of security interests with Companies House within the required deadlines.

Maintaining an organised file in order to ensure that all post-completion matters are addressed.

Assisting the team generally with any day to day matters that may arise.

Assisting the firm by completing KYC for new client and matter openings.
Key Requirements
The minimum level of education, experience and certifications acceptable for the position:

Law degree or Post- Graduate Diploma in Law essential. Equivalent qualifications from other common law jurisdictions considered.

Private investment funds experience preferred but not essential.
