Why we're hiring:

Working as part of an in-house team of accounting professionals to perform financial and commercial due diligence on potential acquisitions being considered by WPP’s portfolio of operating companies.

You will report to the Director of Transaction Services. Managers will typically report to a Senior Manager on each assignment.


What you'll be doing:

  • Financial and commercial due diligence on potential acquisition targets, including:
    • Overview of the business, points of differentiation, strategic rationale
    • Detailed review of historical trading performance
    • Contractual review of trading terms with key clients and suppliers
    • Key management and areas of development in the organisation
    • Accounting policies and impact of alignment with WPP policies
    • Quality of earnings assessment
    • Review of forecast performance, including presentation of sensitised projections
    • Analysis of balance sheet, cash conversion and working capital requirements
  • Work with WPP Corporate Development and operating company senior management to discuss diligence findings, deal pricing, working capital.
  • Work with WPP’s Legal and Tax teams on areas such as employment and financial clauses in the Share Purchase Agreement (SPA).
  • Support WPP operating companies to create post-deal integration plans, leveraging the knowledge gained during due diligence.
  • Establish the initial basis for post-acquisition group reporting.
  • Involvement in discrete strategic projects supporting financial decision-making for various Group-wide initiatives.


What you'll need:

  • Time qualified chartered accountant (or international equivalent).
  • Audit experience, ideally with Transaction Services experience too but this is not required.
  • Foreign language skills would be an advantage.
