Are you a qualified Company Secretary looking for a senior role where you can make a real impact?

At One Advisory, we’re looking for an experienced CoSec to join our dynamic Governance Team. You’ll not only take the lead on a varied portfolio of listed clients but will also have the opportunity to help shape our team strategy, develop junior colleagues and make a real difference to our business as it grows.

One Advisory has a strong base of AIM-listed client companies and, increasingly, main market issuers and some private groups. Your portfolio will typically include a mix of these, with a focus on listed companies. You’ll have plenty of autonomy in your work, backed by clear internal policies, processes and an extensive knowledge base – all within a genuinely supportive culture.

We work closely as a team – sharing knowledge, collaborating on projects, and supporting each other’s professional and personal development. As a senior team member you’ll play an active part in this, including through line management responsibility.

Our offices are based in the City of London and we operate a hybrid working policy. You’ll be in the office at least three days per week. This helps accelerate junior team members’ learning while also keeping teamwork and collaboration at the heart of our culture.

What you’ll be doing

You’ll deliver a high-quality company secretarial service to a portfolio of clients, with support from junior team members. Your responsibilities are likely to include:

  • Planning and delivering the annual Board and Committee meeting cycle (forward planners, agendas, packs, attendance and minutes).
  • End-to-end delivery of AGMs and other general meetings, including drafting and advising on the content of the Notice of Meeting. 
  • Updating clients on changes in the governance landscape and supporting the actions required.
  • Advising on corporate governance code application and disclosures. 
  • Reviewing and/or drafting corporate governance sections of annual reports. 
  • Overseeing MAR records and providing practical, ‘in the moment’ compliance advice.
  • Leading on AIM Rule 26 compliance and website governance content. 
  • Advising on RNS announcements.
  • Overseeing maintenance of statutory books and registers. 
  • Day-to-day corporate governance advice and support. 
  • Building trusted relationships with clients and the wider plc community.

You’ll also get involved in a range of projects and other work, which could include:

  • M&A and other corporate transactions. 
  • Establishing governance structures in preparation for IPO.
  • Delivery of Board performance evaluation services.
  • Director training.
  • Share options administration.

Qualifications

About You

You’ll be a confident, clear and personable governance professional with listed company experience, ready to run your own portfolio and coach and develop others. You’ll bring strong judgement, a proactive approach and real pride in delivering a first-class service. We’d love to hear from you if you’re looking for your next step and you can demonstrate most of the following: 

  • CGI-qualified (ACG/FCG) or qualified lawyer or chartered accountant, with at least 4 years’ relevant company secretarial experience.
  • 3+ years’ listed PLC experience.
  • Professional services experience (beneficial but not essential). 
  • Strong Board/Committee support experience, including high-quality minute-taking. 
  • Sound understanding of corporate governance structures, issues and reporting. 
  • Good working knowledge of MAR. 
  • Strong statutory compliance skills, with working knowledge of Diligent Entities. 
  • Experience with share option schemes (including HMRC filings) is helpful but not essential. 
  • Excellent attention to detail, able to prioritise effectively and delegate with confidence. 
  • Clear written and verbal communication and presentation skills. 
  • A collaborative team player with the interpersonal skills to manage and develop junior staff (line management experience is helpful but not essential; we provide management skills training for the senior team).
  • Willingness to travel within the UK for client meetings when needed.  
  • Interest in business development and brand-building activities. 
  • High integrity and discretion.
