Our M&A Tax Team (part of our wider Corporate & Business Tax Team) are now looking for an M&A Tax Manager to join this exciting and growing department. The right candidate will work alongside partners and directors, to provide bespoke tax advice to clients in respect of a wide range of corporate transactions.
The team is currently top heavy with vast experience across one director and 3 partners spending significant amounts of their time servicing the M&A needs of the firm’s clients. They are supported by specialist and more junior resource from our wider team.  Our immediate recruitment need arises from servicing growth we have already achieved whilst also committing to our objective of growing this service line substantially and we have no shortage of quality work and opportunities.
The M&A Tax Team advise across all areas of transaction tax. Our clients are primarily owner managed businesses and their shareholders, although we are increasingly winning and delivering work involving institutional buyers and investors.  Deal size ranges from circa £5m to over £100m with many deals falling in the £15m to £50m value range both from a sell side advisory and buy side due diligence perspective.
Our work comes primarily from direct referrals from ex/current clients, intermediaries and from our own in-house Corporate Finance team.  One of our major routes to market is to partner with our Corporate Finance team and provide an offering which, whilst not unique, is very compelling in our market.
Our work includes:
• Pre-sale support and tax restructuring;
• Buy side due diligence for acquisitions and lending reviews;
• Transaction tax support and structuring advice to vendors on sale mandates;
• Post sale integration, group rationalisation exercises etc.

We do all this work on a daily basis. Our team see every deal from start to finish and advise on every aspect.

Our team pride themselves on their technical ability and commercial drive to deliver for clients.  We adhere to the highest professional standards and do not undertake any work or planning which we do not believe is in our client’s interest or contravenes the letter or the spirit of the law or regulations imposed by our regulators.

Key Responsibilities
Reporting directly to the Directors and Partners, the ideal candidate will manage the day-to-day workflow on any given transaction project and will be the key team member responsible for delivery of technical advisory and due diligence reports for director/partner review. Whilst having exposure to advising on all areas of UK Taxation, the candidate will have the autonomy to utilise the internal specialist teams (in respect of matters such as PAYE and VAT) to the extent required to assist with the delivery of their work and as such significant exposure to these areas of taxation, whilst helpful, is not essential.
They will be responsible for communication with all stakeholders to the transaction including our client and their other professional advisors as well as those representing the other side to the transaction.

As we continue to grow the team across all levels, the ideal candidate will also be able to train, support and develop those members more junior than them through delegation and on the job training to assist with the delivery of projects in a cost-effective manner.

Skills, Knowledge & Expertise
• UK transaction tax experience with the deal sizes set out above.  This could be from an advisory and/or due diligence focused role. Candidates from practice are sought, rather than those currently working in-house.
• CTA (and ideally) ACA/ACCA qualified. Degree not required.
• The desire to expand their current tax skill set. We do not expect candidates to have had experience in all areas and offer full support, but there will be a requirement to learn and advise on the job in new areas.
• The ability to deliver to clients (both external & internal) in a time frame aligned to completing time sensitive transactions.
• An understanding (or a desire to learn) how to apply excellent tax technical knowledge commercially and to the benefit of our clients.
• Strong written and verbal communication skills. Our advice needs to be polished and delivered to clients in a professional manner. The candidate will be critical in delivering to our clients and needs to have the communication, IT skills and attention to detail to do this.  The ability to build trust and relationships is also very important.
• The personal drive to succeed and to grasp the opportunity which exists to be part of something which we believe will be a truly class leading offering.
