A Brief Overview
Provide general legal advice and support the company secretaries within EMEA.
What you will do
- Plans own deadlines and on own initiative submits decisions and orientations to the required controls.
- Participates in setting strategy, policy and objectives with decision making based on thorough understanding of end results.
- General contract review and negotiation (e.g., confidentiality agreements, vendor service contracts, guarantees and comfort letters, service level agreements).
- Provide advice to actuarial and business development teams with respect to life reinsurance transactions, structures and treaties (insurance experience required). When outside counsel is necessary, retain and supervise counsel in a cost effective manner.
- Schedule all board meetings and prepare the board, management & board committee meeting materials.
- Facilitate all company registry filings, maintenance of statutory registers and meeting minutes.
- Liaise with international legal colleagues on multi-jurisdictional projects, including development and maintenance of approved forms of reinsurance treaties, and serve as their back-up.
- Operational impact of actions on financial decisions or end results affects the performance of others in the company or moderately affects activities in the business unit, suppliers or customers.
- Represent the company in a marketing capacity, where appropriate: lectures presentations, articles, etc.
- Ensure statutory, corporate and regulatory compliance.
QUALIFICATIONS
Education
- Law Degree
Work Experience
- 3+ Years experience with insurance and insurance regulations and related issues
- 3+ Years experience in general corporate & corporate governance & secretarial
Licenses and Certifications
- Licensed to practice law in the UK
