Location - London

Are you a qualified solicitor with a passion for complex, cross-border corporate work? As Legal Counsel – Corporate, you will provide legal advice on a wide range of corporate matters, including complex cross-border reorganisations, legal entity rationalisations, capital reductions, financings, corporate governance, and mergers & acquisitions, primarily across the UK and EMEA. You will support the Global Corporate Legal team (notably Senior Legal Counsel – Corporate), work closely with the EMEA Company Secretarial Team, and collaborate with business functions to shape transactions from the outset, applying critical thinking to identify risks and opportunities early. Your responsibilities will include drafting and reviewing legal documentation, managing external counsel, and ensuring the smooth execution of corporate transactions and related activities.

Key responsibilities:

  • Advise and support the company on a broad spectrum of intragroup transactions in the UK and EMEA, including cross-border entity restructurings, intragroup financings, recapitalisations, dividends and other projects.

  • Collaborate with internal teams (including EMEA Legal, Tax, Finance and Treasury) and manage external legal counsel to ensure seamless execution of transactions.

  • Draft and review a variety of legal documents, including purchase agreements, intragroup financing documentation, and board and shareholder resolutions.

  • Assess and manage corporate risks associated with corporate initiatives, financings and restructurings.

  • Provide legal support for mergers and acquisitions, divestitures, joint ventures and other strategic transactions, including drafting applicable legal documentation.

  • Provide corporate governance support for our UK subsidiaries, including drafting written consents and resolutions, updating Companies House, and otherwise assisting the UK CoSec team in managing corporate books and records.

  • Support UK and EMEA subsidiary formation, rationalisation and management.

  • Stay abreast of relevant laws, regulations and industry trends to ensure compliance.

Requirements:

  • Qualified solicitor in England and Wales with 3 years’ post-qualification experience

  • Specialism in corporate, corporate finance or tax law, underpinned by training and post-qualification experience at a leading, high-regarded law firm.

  • Proven ability to manage concurrent corporate transactions efficiently, with strong organisational skills and attention to detail.

  • Track record of handling multi-jurisdictional transactions and/or managing non-UK external legal counsel.

  • Familiarity with the requirements of reorganisations, legal entity rationalisation and intragroup financing. 

  • Excellent communication, collaboration and stakeholder management skills, combined with a proactive and self-driven approach.

  • Exposure to in-house environments (including by way of secondments) a plus.

  • Hybrid role - 2/3 days per week in our London (City) office.
