Job Description:

We are seeking a highly skilled and detail-oriented Legal Counsel to lead our legal function as we scale rapidly. This role is ideal for a strategic legal leader with exceptional expertise in corporate law, merger & acquisition, venture capital, regulatory compliance, and risk management. 

Responsibilities:

  • Legal Advisory and Assistance:
    • Provide legal support and advice on a wide range of issues, including deal-making, corporate law, contracts, intellectual property, employment law, tax, and data protection/GDPR. 
    • Support interactions with portfolio companies on legal matters, providing guidance and assistance as needed.
    • Act as the primary point of contact for external legal counsel and manage relationships with legal service providers.
  • Monitoring and Risk Management:
    • Monitor the group’s legal and compliance requirements.
    • Identify potential areas of legal vulnerability and risk.
    • Implement any necessary changes to policies or procedures, supported by our external legal advisors or consultants, as needed.
  • Legal Decision-Making Process Management:
    • Develop and manage the group’s shareholders’ and committee’s resolution and legal notification processes, ensuring effective and timely resolution.
  • Additional Responsibilities:
    • Drafting and reviewing contracts, legal agreements, and other legal documents.
    • Advising on legal compliance and risk management issues.
    • Assisting in transactional matters with financing providers.
    • Conducting legal research and providing legal opinions on a wide range of legal issues.
    • Collaborating with internal teams, including business development and finance, on various legal and business initiatives.

Requirements:

  • Attorney-at-Law or 2nd State Exam (Germany) and a minimum of 4 years of professional experience in a reputable law firm, in-house legal department, or as a legal advisor in a venture capital or start-up environment.
  • A law degree from a top university with a strong academic record.
  • A deep understanding of corporate and commercial law, with a focus on venture capital, mergers and acquisitions, and intellectual property law.
  • Excellent legal writing and verbal communication skills in English with the ability to provide clear and concise legal advice. Additional languages and negotiation skills are a plus.
  • Strong project management skills with a solution-oriented style of work and meticulous attention to detail.
  • Ability to thrive in a fast-paced, collaborative environment with a high level of integrity, professionalism, adaptability and strong attention to detail and ability to work independently
  • Collaborative, solution-oriented approach and the ability to work well with cross-functional teams.
