Opportunity:
The Global Alternatives Group ("Global Alts"), a division of J.P. Morgan Asset Management, comprised of the Global Transportation Group ("GTG"), Real Estate, Infrastructure, Private Equity, Private Credit, Liquid Alternatives and Hedge Fund Strategies, has approximately $180 billion of assets under management. With over 700 professionals worldwide and over 40 years of experience, Global Alts is a trusted advisor to the world's most respected corporations, governments, institutions, and high net worth investors. The GTG currently manages $4.8 billion in equity investments in a range of transportation related assets and portfolio companies.
As an Executive Director within GTG, you will use your legal experience to support strategic decision making in the areas of capital raising, capital deployment, regulatory, governance and asset management. You will work closely with GTG's CIO and Investment Principles, other specialist teams, portfolio companies, internal JPMAM Legal and Compliance departments, external counsel and other advisors to achieve commercial outcomes for stakeholders. You will be a curious, motivated and proactive self-starter, with strong communication, leadership, interpersonal and organizational skills, who has the ability to balance legal and commercial considerations and takes a collaborative approach to problem solving.
Key responsibilities include:

  • Partnering with our investment teams alongside the Chief Executive Officer / Chief Investment Officer to provide legal analysis and execution whilst w ork ing across the Global Transportation team, portfolio company management and boards, external advisers and Asset & Wealth Management stakeholders to bridge the commercial and legal discourse in Merger & Acquisition transactions
  • Ownership of appropriate risk management, governance, consistency and best practices in contractual arrangements
  • Learn ing new skills, including regulatory, fund management and capital raising workstreams, as the vehicle and its portfolio companies evolve over time
  • Collaboration with investment teams, Chief Executive Officer / Chief Investment Officer and asset management teams, on all legal matters throughout the course of an investment, including negotiation and drafting of confidentiality agreements, term sheets, and final deal documentation as well as on fund structuring; management of the fund entity ecosystem; legal / regulatory analysis and adherence; contract management; and other legal matters and e nsur ing the team's risk mandate is properly reflected in transactions
  • Engage with Global Transportation asset management team and portfolio company management teams and boards to ensure continuous business improvement in asset management, including governance, risk management, policies and procedures, sustainability matters
  • Execution on key legal documentation across various areas of the business; you will provide guidance on proposed changes to key legal documentation, including amendments and waivers.
  • Maintain a strong network among the legal community, with an emphasis on the transportation and admiralty sector legal communities as well, which will help support sourcing and efficient / cost effective management of third-party legal service providers, working extensively with the legal team members within Global Transportation's portfolio companies
  • Identify and work with relevant stakeholders to solve potential compliance, legal, regulatory and corruption issues in transactions
  • Supporting with position final bid, structure, representations, and warranties and closing conditions to the benefit of the Global Transportation Group
  • Keep senior members of the Global Transportation Investment team appraised of legal developments, attend Investment Committee meetings & participate in presentation to new and current Fund investors as needed


Knowledge, skills and experience required:

  • Extensive Merger & Acquisitions and/or financing experience
  • Qualified to practice law
  • Intellectual rigor and curiosity

  • Commercial acumen and strong analytical skills
  • Willing and enthusiastic to learn about all facets of the business and its stakeholders

Preferred Skills & Experience:

  • European or Asian language skills are a plus
  • In-house Legal experience
  • Industry focus experience across Transportation (Maritime, Aviation, Rail, Trucking, Municipal Transport, Electric Vehicles) preferred
  • Experience with investment vehicles (including fund formation, capital raising, asset management and/or regulatory) a plus
