The Role

We’re looking for a senior legal leader to join us at an exciting inflection point in our growth. As Head of Legal reporting to the CFO, you will be OpenAsset’s first in-house legal hire, establishing our legal foundation and partnering closely with the CFO and leadership team as we scale. This is an individual contributor role for at least the first 12–18 months — ideal for someone who thrives on variety, autonomy, and building systems hands-on before later expanding scope. This is a hands-on role - we’re looking for someone who’s as comfortable drafting and redlining as they are shaping policy and advising on AI and data regulation. You’ll need a scale-up mindset: pragmatic, commercial, and happy working across the full range of legal work, from the strategic to the operational.

You’ll be the trusted legal advisor to the leadership team, balancing commercial pragmatism with sound governance. You’ll manage all aspects of legal risk across our global business, from commercial contracting to corporate structuring and exit readiness. This is a hands-on, senior position where you’ll both advise the business day to day. You’ll also oversee relationships with external counsel and play a key role in shaping our legal readiness as we scale internationally.

Key Responsibilities

Commercial & Contracting

  • Lead, review, and negotiate a variety of commercial agreements, including customer, supplier, partnership, and technology contracts
  • Advise the business on a broad range of legal issues, including SaaS agreements, government and regulatory compliance, data privacy, risk mitigation, and intellectual property
  • Maintain and evolve our MSA, DPA, and Usage Policy in line with product and regulatory developments
  • Manage supplier due diligence, particularly for AI and data vendors

Corporate & Governance

  • Oversee legal entity setup, filings, and governance across multiple jurisdictions.
  • Support board meetings, resolutions, and company secretarial administration.
  • Develop and maintain internal policies and procedures to manage legal risk and support business objectives

Data Protection & AI Governance

  • Monitor and ensure compliance with applicable laws and regulations
  • Work closely with our Director of Security, ensuring compliance with GDPR, other data privacy frameworks relevant to SaaS businesses, and emerging US and AI legislation.
  • Advise product teams on responsible AI use, data sharing, and vendor oversight. Stay on top of legal and regulatory developments affecting the SaaS and technology sectors including the EU AI Act and similar emerging regulations.

Employment & Equity

  • Support on employment law matters
  • Oversee equity management and documentation 

Risk, Insurance & Disputes

  • Manage all corporate insurance, renewals, and claims (PI, cyber, D&O, etc.).
  • Oversee and coordinate with external counsel on specialist matters including complex regulatory issues and international expansion.

Strategic Projects

  • Lead workstreams for ESG and corporate compliance
  • Preparing the business for investment or exit, focusing on the business always being ‘diligence ready’

Requirements

  • Qualified solicitor (England & Wales) with min 7+ years PQE in-house or private practice (technology/SaaS preferred)
  • Startup mindset: happy to work across the full legal spectrum, from strategic advisory and governance to day-to-day contract reviews, template updates, and process improvement
  • Previous in-house legal experience within a technology business 
  • Strong working knowledge of commercial contracts and data privacy
  • Commercial judgment: keeps the business protected and applies the right diligence, without flagging everything as a risk
  • Confident managing broad commercial and corporate matters independently
  • Strong understanding of corporate governance, equity schemes, and international operations
  • Pragmatic, commercial, and confident advising senior stakeholders
  • Excellent drafting, negotiation, and communication skills.
  • Excited to build the legal and governance framework for a scaling tech business
  • Ability to work independently, exercise sound judgement, and manage competing priorities.

Desirable

  • In-house legal experience specifically within a B2B SaaS company
  • Experience with data protection, AI/ML systems, or SaaS contracting is highly desirable
  • Familiarity with international legal frameworks and cross-border transactions.
  • Exposure to M&A, rapid scale ups, ideal but not essential
  • Corporate governance experience is not required but a plus
