About the Role:

Join Zone as a key executive leader, shaping legal strategy and driving business success. As General Counsel, you'll navigate complex legal and regulatory landscapes, mitigate risks, and ensure compliance while overseeing corporate governance, employment law, M&A, contracts, dispute resolution, and IP management.

You'll work closely with the executive team to align legal strategies with business goals, fostering a proactive, forward-thinking approach to risk management. This role demands integrity, strong communication, and sharp analytical skills to tackle diverse legal challenges that impact growth and operations.

Responsibilities:

  • Strategic Legal Leadership
    • Advise CEO, executives, and board on legal and regulatory matters.
    • Align legal strategy with business goals.
    • Provide proactive legal counsel on products, business models, and expansion.

    Corporate Governance & Compliance

    • Ensure global corporate governance and legal compliance.
    • Advise on corporate structure, equity, and board governance.
    • Develop policies aligning with legal and industry standards.

    Regulatory & Risk Management

    • Monitor global regulations and assess business impact.
    • Collaborate with Finance, Compliance, and HR on risk strategies.
    • Oversee compliance with marketing, advertising, and privacy laws (GDPR, CCPA).

    Labor & Employment Law

    • Advise on employee benefits, labor laws, and terminations.

    Intellectual Property

    • Protect and manage intellectual property assets.

    Contract Management

    • Oversee, draft, and negotiate contracts (SaaS, vendor, M&A, employment).
    • Optimize contract processes for global growth and efficiency.

    Legal Operations & Dispute Resolution

    • Manage litigation, investigations, and dispute resolution.
    • Lead mediation, arbitration, and crisis management.
    • Liaise with external counsel for cost-effective legal support.

    Business Strategy & M&A

    • Provide legal expertise on M&A, risk assessment, and compliance.
    • Support business strategy with legal insights.

    Team Development

    • Build and lead a high-performing legal team.
    • Train employees on compliance and legal awareness.
    • Implement legal tech for efficiency and foster a culture of compliance.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school
  • Minimum of 10 years of legal experience, with a strong focus on M&A, preferably in fintech, SaaS, or technology
  • Expertise in corporate law, mergers and acquisitions, and employment law
  • Strong understanding of global regulatory environments
  • Excellent negotiation and communication skills
  • Proven ability to manage multiple priorities in a fast-paced environment
  • Strong analytical and problem-solving capabilities
  • Admission to practice law in relevant jurisdictions
  • Experience managing legal teams and external counsel
  • Knowledge of data privacy laws and regulations is a plus
