Position Summary:

    We are seeking a highly organized and motivated Corporate Governance and Contracts Manager/Paralegal (Contractor) to join our Legal team, focusing on corporate governance and contracts administration. This role provides hands-on experience in corporate legal operations within a dynamic biotech environment. The successful candidate will support our legal team in managing corporate governance processes, contract administration, and compliance activities while gaining valuable exposure to the intersection of law, business, and life sciences.

    This position offers an excellent opportunity for an individual who wants to grow their experience in corporate law, contract management, and regulatory compliance in the fast-paced biotech industry.

Key Responsibilities:

    Contract Management & Administration:

    •      Assist with contract intake, tracking, and database management using contract lifecycle management (CLM) systems.

    •      Review and revise contracts for products and services.

    •      Support contract review processes by organizing documents, creating summaries, and maintaining version control.

    •      Help prepare standard contract templates and addendums for routine agreements.

    •      Coordinate contract execution processes, including e-signature collection of appropriate signatories and final document distribution.

    •      Proofread, edit, and fact-check contract documents for completion, consistency, and accuracy.

    •      Evaluate opportunities for streamlining current contract lifecycle management processes.

    •      Assist with reporting renewals and terminations of executed contracts.

    •      Create, run, and distribute contract information reports.

    •      Escalate deviations to Contracts Counsel.

    •      Maintain contract repositories and ensure proper filing and accessibility of executed agreements.

     

    Corporate Governance Support:

    •      Assist with board meeting preparation by organizing materials, formatting presentations, and creating meeting packets.

    •      Support maintenance of corporate records, including board resolutions, committee charters, and governance policies.

    •      Support SEC filings, including 10-K, 10-Q, 8-K, and proxy statement, including assistance with preparation of disclosures and tables, maintenance of filings calendars, preparation and management of D&O questionnaires, and preparation and filing of Section 16 reports.

    •      Help track and monitor compliance deadlines for corporate filings and regulatory requirements.

    •      Assist with shareholder communications and equity administration tasks.

    •      Support preparation of governance-related reports and summaries for leadership.

    •      Help develop, streamline, implement and maintain processes and policies across the organization, including those related to securities reporting, compliance, equity administration, and contracts.

    •      Support strategic transactions, including due diligence, data room administration, document preparation, and post-closing administration.

    •      Other tasks and duties as assigned.

Required Qualifications:

    •      Bachelor’s degree in law, business administration, finance, life sciences, or related field.

    •      At least 5 years of experience as a corporate governance, contracts, or corporate paralegal/manager in a law firm or in-house legal department.

    •      Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook). Strong attention to detail and document management capabilities.

    •      Experience and willingness to leverage AI optimization tools (Claude) to facilitate workflows.

    •      Comfortable learning new software platforms and contract lifecycle management systems (CLM).

    •      Understanding of legal terminology and document structures.

    •      Excellent written and verbal communication skills.

    •      Strong project management skills; flexible and capable of managing and prioritizing multiple duties and projects within specified time frames.

    •      Self-motivated, flexible, collaborative, eager to learn, and interested in working on a wide range of legal, contracts, governance and compliance matters.

    •      High level of discretion and ability to handle confidential information.

    •      Analytical mindset with problem-solving capabilities

    •      Ability to work independently and as part of a collaborative team.

    •      Ability to be onsite 2-3 days per week.

Preferred Qualifications:

    •      Paralegal certificate or coursework preferred.

    •      Experience as a corporate governance, contracts, or corporate paralegal/manager in a law firm or in-house legal department at a biotech or life sciences company preferred.
