The role 

The Senior Corporate Development Associate plays a key role in shaping Nebius’s inorganic growth agenda through M&A, strategic investments, and capital markets initiatives. This role independently drives complex analyses, leads cross-functional work streams during transactions, and contributes to the evaluation and execution of strategic opportunities. The position requires strong financial and strategic acumen, the ability to work across multiple disciplines, and a proactive approach to identifying and assessing opportunities that support Nebius’s growth trajectory. 

The ideal candidates will bring strong, hands-on transaction experience, preferably from investment banking, corporate development, growth equity or VC backgrounds.

Your responsibilities will include: 

  • Lead market, competitive, and financial evaluation of potential M&A and investment opportunities, including developing theses, identifying targets, and performing detailed assessments. 
  • Manage core work streams during due diligence processes, coordinating contributions from internal teams and external advisors. 
  • Build and own financial models, valuation analyses, and scenario assessments to support decision-making. 
  • Develop investment cases, transaction proposals, and materials for senior leadership and stakeholders. 
  • Support deal structuring, negotiations preparation, and process execution for acquisitions, investments, and capital markets activities. 
  • Maintain and refine the pipeline of opportunities, including proactive origination research and structured prioritisation aligned with strategic goals. 
  • Contribute to post-merger integration planning and ensure early alignment with functional stakeholders. 
  • Partner with product, finance, operations, legal, and other departments to validate business cases, assess risks, and ensure deal feasibility. 
  • Build and maintain relationships with advisors, investors, and market participants to support sourcing and execution efforts. 
  • Provide mentorship and guidance to junior team members, ensuring quality and consistency in analytical outputs. 

We expect you to have:  

  • 5+ years of progressive experience in investment banking, private equity, strategy consulting, or corporate development. 
  • Comprehensive understanding of M&A processes, valuation techniques, and transaction mechanics. 
  • Demonstrated ability to independently lead complex analyses or work streams within larger transactions. 
  • Strong financial modelling skills with attention to detail and scenario-driven thinking. 
  • Excellent communication skills and experience preparing materials for senior leadership. 
  • Proven ability to work cross-functionally and manage multiple stakeholders in fast-paced environments. 
  • High level of ownership, judgement, and ability to structure ambiguous problems. 

It will be an added bonus if you have:

  • Experience with cloud, infrastructure, technology platforms, or high-growth environments. 
  • Exposure to capital-raising, investor relations, or complex cross-border transactions. 
  • Familiarity with integration planning and post-merger alignment.
