About the Role

Reporting to the EMEA Head of Restructuring and Special Situations, the Associate Director/Director of Transaction Management supports CSC’s UK Capital Markets business by managing transaction issues at onboarding and throughout the life cycle of complex structures. This role provides practical, risk-aware guidance across structured finance and securitisation transactions where CSC acts as corporate services provider. You will partner closely with internal stakeholders, clients, intermediaries, and external counsel to protect CSC’s rights and obligations, maintain strong governance, and deliver a high standard of client service. The position also contributes to business development, internal controls, and training to help scale a consistent, high-quality transaction management approach.

Key Responsibilities

  • Provide senior transaction management support across a broad range of capital markets, structured finance, and securitisation transactions where CSC is corporate services provider.
  • Review and comment on transaction documentation in line with CSC standards, identifying commercial, legal, and operational risks and ensuring appropriate protections are in place.
  • Co-ordinate input on documents with internal stakeholders and, where appropriate, instruct and liaise with external counsel to consolidate comments and manage timelines.
  • Manage post-close transaction matters including waivers, consents, amendments, defaults, restructurings, and special situations, escalating issues appropriately and ensuring CSC’s rights and obligations are protected.
  • Promote a client service-oriented culture through timely, professional communication with clients, colleagues, intermediaries, and advisers.
  • Support the UK Capital Markets leadership with maintenance and enhancement of internal controls, processes, and policies relevant to transaction onboarding and ongoing administration.
  • Act as a director for SPV entities as required, exercising appropriate governance, decision-making, and record-keeping standards.
  • Contribute to business development by maintaining and growing relationships with clients and intermediaries, supporting proposals, pricing input, and attending relevant market events.
  • Support internal projects including drafting and maintaining precedent documents and contributing to CSC’s response to relevant regulatory change, enquiries, or investigations.
  • Identify training needs and design/deliver internal and external training (including to clients and law firms) on transaction issues, onboarding requirements, and CSC service offerings.

Required Experience

  • Qualified lawyer with relevant post-qualification experience (PQE) in England & Wales or a comparable common law jurisdiction.
  • Strong capital markets experience, including structured finance and/or securitisation transactions, with the ability to analyse and discuss complex deal structures and documentation.
  • Demonstrated ability to manage transaction risk across onboarding and ongoing life cycle events, including co-ordinating multiple stakeholders and delivering to deadlines.
  • Excellent written and verbal communication skills, with the ability to influence and build credibility with clients, intermediaries, senior stakeholders, and external counsel.
  • Strong organisational skills with the ability to balance competing priorities in a fast-paced environment.
  • Ability to work independently with sound judgement, while collaborating effectively across teams in a multi-disciplinary setting.

Preferred Experience

  • Experience within a corporate services provider, trustee, agency, or third-party fiduciary/trust services environment.
  • Experience supporting special situations, defaults, amendments/waivers, and restructurings in a capital markets or structured finance context.
  • Familiarity with UK and/or EMEA regulatory expectations applicable to capital markets structures and corporate services providers.
  • Experience creating and maintaining precedent documentation and delivering structured training to internal and external audiences.
