Role Overview:
As a member of the Secured Finance Group, to provide legal support to the investment team across a wide range of ABS transactions (incl. SME, consumer loans, leases and credit card receivables, CLO, RMBS, CMBS) and esoteric structured finance opportunities (incl. trade receivables, supply chain finance, regulatory capital trades). These may be privately placed, in unlisted note format, loans, or warehouses.
To ensure oversight of Insight and Insight’s clients’ compliance with regulatory matters (incl. EU and UK Securitisation Regulation, transaction specific tax considerations etc.) and support the closing/settlement of transactions globally.
Role Responsibilities:
•Identify and evaluate legal risks in conjunction with the investment team and ensure such risks are sufficiently mitigated in the transaction documents.
•In conjunction with the investment team, select and instruct external counsel and advisors in multiple jurisdictions, as required.
•Coordinate and supervise legal work performed by external counsel and provide internal legal sign-off on transaction documents.
•Advise on and review term sheets relating to new structured finance transactions.
•When required, structure, review, and negotiate transaction documents (including the security package) on a variety of UK and cross border or multi-jurisdictional structured finance transactions covering a variety of asset classes and note formats (e.g. variable funding notes).
•Oversee and support transaction closing from a legal perspective.
•Support the investment desk with legal queries arising in connection with existing investments and potential new transactions.
•Provide legal assistance on all elements of a transaction’s lifecycle (e.g. amendments, waivers, restructurings, etc.) with respect to current investments.
•Ensure Insight and Insight’s clients’ EU and UK Securitisation Regulation compliance, including overseeing legal sign-off (utilising external counsel where appropriate) prior to the investment in any securitisation positions in both the public and private markets.
•Keep abreast of any EU and UK Securitisation Regulation (proposed) changes or interpretive guidance, notifying the investment desk and responding promptly to ensure securitisation positions remain complaint.
•Keep abreast of regulatory developments and liaising with the appropriate internal stakeholders (including legal, risk, compliance, and tax teams as relevant) to ensure transactions are and remain compliant with all internal requirements.
•Support the Secured Finance Group with general, ad-hoc advice with respect to securitisation and structured finance transactions more generally.
Experience Required:
•England and Wales qualified lawyer with extensive structured finance and securitisation experience, gained at a leading law firm, asset manager or financial institution (dual qualified New York / England & Wales qualified lawyers are encouraged to apply).
•Significant experience of independently advising on structured finance transactions, with an understanding of asset backed lending structures including private securitisations and warehouse facilities.
•Fluent in the application of the UK/EU Securitisation Regulations to all public and private transactions in the context of a European asset manager.
•Ability to work on time sensitive matters, take ownership of work product and multi-task in a fast-paced environment.
•Ability to explain complex legal matters in a straightforward manner to internal stakeholders, especially to non-lawyers.
•Negotiating independently and effectively whilst maintaining strong relationships both with internal stakeholders and external counterparties.
•Excellent communication skills, both written and verbal.
•Team-orientated, collaborative, positive and enthusiastic.
•Exhibits excellent judgement, decision making ability and commerciality.
