Coverys Limited is currently seeking a Senior Legal Counsel to contribute to the success of Coverys’ international operations by providing professional in-house services.

Key Responsibilities:
  • Provide efficient, effective and high-quality legal advice in a commercially focused way to stakeholders and the business.

  • Handle a wide range and high volume of commercial and corporate legal matters, projects and ad hoc queries with confidence, care and high standards of client service, tailoring technically accurate legal advice to the commercial situation.

  • Provide support and work collaboratively to help achieve business objectives.

  • Provide, based on a solid knowledge of contract law, legal advice, and drafting support in connection with a wide range of commercial contracts including, but not limited to, IT contracts, service agreements and confidentiality agreements.

  • Coordinate external counsel for M&A transactions and review transaction documentation and contracts as needed.

  • Act as Company Secretary for Coverys Limited and provide company secretarial services to it and other UK subsidiaries.

  • Act as Data Protection Officer for Coverys Limited.

  • Communicate effectively and provide a consistently high standard of service and to be an ambassador of the legal function internally and externally.

  • Maintain the precedent bank and assist with providing training for the business on new or ongoing legal matters.

  • Maintain internal administration; including document management, sign-off processes and the maintenance of the contracts database.

  • Manage external counsel where necessary and help ensure responsive and cost-effective commercial advice is delivered to the business.

  • Assist the business on any corporate governance matters.

  • Keep up to date with changing company and corporate law and other regulatory requirements in the UK and corporate governance practices generally.

  • Oversee Companies House filings as relate to the appointment and resignation of directors, company statutory accounts and confirmation statements.

  • Communicate with US colleagues on the Group organisation chart and directors’ lists.

  • Oversee management and maintenance of Diligent system.

  • Maintain compliance with any applicable UK or international statutory or regulatory obligations applicable to the business. This includes but is not limited to obligations arising from:

    • The prudent management of the business.

    • Placing due regard on the interests of customers.

    • Observing rules on sanctions and financial crime.

    • Regulatory requirements and local licensing restrictions.

  • Ensure risk management and maintenance of a robust control environment is incorporated into the day-to-day responsibilities of the role. This includes but is not limited to:

    • Awareness and understanding of the Risk Management Framework applicable to UK authorized insurers.

    • Ensuring the effective design and operation of controls within their function.

    • Identifying risks, risk events and issues arising in their business area and reporting these as per the Risk Management Framework.

    • Participate in risk management activities/processes as required of the role.

Skills/Knowledge/Ability:
  • 6 to 10 years PQE lawyer (solicitor or barrister in England & Wales or overseas equivalent).

  • Experience gained within a commercial/insurance and/or a financial services environment.

  • Proven commercial skills and a willingness to add value.

  • Experience gained in a reputable law firm or in-house environment of the following practice areas is desirable:

Insurance/reinsurance

Regulatory/compliance

Data protection/GDPR

IT contracts and licensing

Corporate/commercial agreements

Intellectual Property

Employment Law
