About Hypervision Surgical

Hypervision Surgical (“Hypervision”) is a spin-out from King’s College London, founded by clinicians and experts in medical imaging and artificial intelligence. Using safe light alone, our mission is to equip surgeons with real-time, AI-driven tissue intelligence to improve precision and patient safety.

We are pioneering the world’s first regulatory-cleared real-time intraoperative spectral imaging platform, combining on-chip spectral sensing with high-speed AI analytics at over 60 frames per second. Seamlessly integrating into existing surgical vision systems, our technology transforms standard cameras into intelligent, data-rich tools, revealing anatomical, physiological, and pathological information beyond human vision.

Certified for both open and minimally invasive surgery, our platform achieved UKCA certification and FDA clearance in 2025 under a newly established AI/ML product code, and was admitted into the FDA’s Safer Technology Program. With multi-centre clinical evaluations underway and strategic partnerships with world-leading technology and surgical manufactures, including imec and ZEISS Ventures, Hypervision is shaping the future of data-driven surgery.

Hypervision Surgical process all personal data in accordance with the UK GDPR and Data Protection Act 2018. For further information on how we collect, use and protect your data, please refer to our Applicant Privacy Notice.

About the role

We are looking for an experienced and pragmatic Senior Legal Counsel to join our team as our first full-time in-house legal hire. This is a broad, high-impact role — but not a blank page. You will be stepping into a business that has been supported by an established fractional legal function, with solid commercial foundations, active frameworks, and a legal rhythm already embedded in the business. Your role is to take ownership of that function, deepen it, and scale it as we grow.

You will work directly with the CEO and key stakeholders, acting as a trusted adviser and enabling the business to move quickly and confidently. You will manage external counsel relationships, continue to build out legal function for the company, and play an active role in shaping how Hypervision scales.

This role is ideally suited to a commercially minded lawyer who thrives in a fast-moving environment, is comfortable with ambiguity, and wants to be genuinely close to the business rather than at arm's length from it.

What you'll do

Corporate Governance & Board Support

  • Own the company secretarial function in full, working closely with the Chair and CEO to organise board meetings, prepare board packs, draft shareholder resolutions, and manage statutory filings.
  • Ensure compliance with investment documents including the shareholders' agreement, and oversee shareholder communications and reporting.
  • Advise the board and senior management on corporate governance, directors' duties, and best practice.

Fundraising & Investor Relations

  • Provide legal support for fundraising activities, including due diligence, transaction documentation, and investor engagement.
  • Manage compliance with ongoing investor reporting obligations.

Commercial & Employment

  • Draft, maintain, and roll out contract templates to support scalable commercial growth.
  • Lead negotiations of commercial contracts with customers, partners, and suppliers.
  • Partner with an emerging People team on employment law matters including recruitment, performance management, policy development, and terminations.
  • Oversee the company's EMI share option plan, including grants, valuations, exercises, and HMRC filings.

International Expansion & Corporate Structuring

  • Lead on legal aspects of international growth as required, including subsidiary formation, employment law matters, and coordination of cross-border tax and corporate structuring.
  • Liaise with overseas advisers to ensure compliance with local laws and regulations.

Compliance, Risk & Data Protection

  • Advise on data protection and privacy compliance, supporting the data platform team.
  • Support compliance with regulatory requirements in the medtech sector, including product approvals and certifications where applicable.
  • Develop and implement risk management frameworks covering insurance, business continuity, and health & safety oversight.

Intellectual Property & Innovation

  • Work with our external experts to provide strategic guidance on the company's IP portfolio, including protection, licensing, and enforcement.
  • Support R&D and product development teams to embed IP awareness and best practice across the business.

Qualifications

Essential:

  • Qualified solicitor with 6–9 PQE, with a strong foundation in corporate and commercial law.
  • Comfortable operating as the sole in-house lawyer, with prior in-house experience at a startup or scale-up.
  • Experience in medtech, life sciences, or a regulated industry.
  • Track record of leading commercial contract negotiations and managing external counsel effectively.
  • Solid grounding in corporate governance and company secretarial responsibilities, with the confidence to own this function independently.
  • Exposure to equity fundraising processes (Series A or beyond), including due diligence and transaction documentation.
  • Strong communicator — able to translate complex legal risk into clear, actionable guidance for non-lawyers at all levels.
  • Proactive, commercially minded, and energised by the breadth of a standalone legal role.

Desirable:

  • Familiarity with FDA, UKCA, and CE regulatory frameworks.
  • IP portfolio management experience.
  • International expansion or cross-border structuring experience.
  • Data protection / GDPR expertise.
  • EMI share option scheme administration.
