Position Summary
Harness is seeking a Senior Commercial Counsel (EMEA) (title dependent on experience) to join our lean and dynamic legal team. This role will primarily focus on negotiating and managing commercial contracts, including enterprise SaaS agreements, on-premises software license agreements, data processing agreements, and partner agreements. The ideal candidate will have experience negotiating against large enterprises and advising on key legal considerations in the UK and EU.
As part of a small in-house legal team, flexibility is key. While the focus will be on commercial contracts, you may also be asked to support related areas such as employment, IP, regulatory compliance (including data privacy and AI) and legal operations.
About the role
- Draft, review, and negotiate a range of commercial agreements, including SaaS contracts, license and services agreements, and DPAs.
- Work closely with Sales, Finance, and Deal Operations teams to support deal structuring and execution.
- Advise internal stakeholders on legal and regulatory risks in key EMEA markets.
- Provide strategic guidance on commercial transactions, contract disputes, and risk mitigation.
- Collaborate with external counsel when necessary on specialized matters
About you
- 7 years of legal experience, with significant in-house experience at a US-based SaaS company.
- Strong background in commercial contract negotiation, particularly against large enterprise customers.
- Experience with UK and EU commercial and regulatory frameworks relevant to SaaS businesses.
- Working knowledge of data privacy (GDPR) and AI regulations.
- Qualified in the UK or an EU jurisdiction, with practical experience handling EMEA legal matters.
- Fluent in English (additional languages are a plus but not required).
- Ability to work independently in a remote-first environment while collaborating with global teams
