Hamilton Lane is looking to hire a Private Funds Legal Counsel who will support the Company’s closed end and evergreen comingled funds, separate account clients and single investor/fund-of-one structures. The individual will handle structuring, drafting, negotiating, and day-to-day legal affairs for closed end and evergreen comingled funds and separate account products, including overseeing outside counsel.
Your responsibilities will include:
· Overseeing outside counsel in drafting, reviewing and negotiating operative documents (including limited partnership agreements, LLC agreements, subscription agreements, private placement memoranda, etc. and/or other ancillary documents) for the Company’s closed end and evergreen comingled funds and separately managed accounts based in Luxembourg, the US, and globally.
· Focus primarily on Luxembourg and UK law, while integrating with the broader Client Legal team based in the US to enable the Company to offer products across the EU, Middle East, Asia, and North and South America
· Working in coordination with our structuring and product development teams to advise on structuring and closing/launching new funds and client agreements.
· Handle day-to-day legal matters for the Company’s existing closed end and evergreen products.
· Proactively identifying and spearheading improvements to processes and best practices, including coordinating with internal and external parties to roll out such changes.
· Provide practical, risk-adjusted legal and commercial advice to internal clients and senior leadership
· Serve as a subject matter expert and trusted advisor within the firm, translating complex legal issues into clear, practical guidance and helping internal clients evaluate novel proposals and business objectives.
· Oversee and guide outside counsel, including direction on key legal and commercial issues, feedback on work product and communication style, and management of legal support on fund-related matters.
· Drafting and negotiating amendments, extensions, re-ups and/or other modifications to the Company’s existing evergreen funds and separate account and single investor/fund-of-one client relationships.
· Managing specialized fund investor negotiations and closings, MFN processes and limited partner transfers.
· Working on distribution and platform agreements for evergreen funds, including overseeing outside counsel and closing new relationships.
· Ensuring compliance with applicable securities and tax laws and regulations
· Lead strategic initiatives and special projects with minimal oversight and help coordinate cross-group efforts that improve collaboration and consistency.
· Periodic review of, refinements to, and updating of the Company’s form agreements, internal and external processes, and outside counsel guidelines.
· Handling and coordinating US and non-US regulatory filings and applications.
· Special projects as assigned.
Your background will include:
· 4-7 years’ post qualified work experience as a practicing counsel/solicitor, preferably within the asset management, fund formation, private equity and/or corporate departments of a law firm or financial services business; Luxembourg funds experience preferred.
· Strong working knowledge of corporate, partnership and other private markets’ law is required, in addition to supporting (and willingness to learn) select U.S. and non-U.S. regulatory matters.
· Well-developed commercial judgment, with strong problem-solving skills and the ability to balance business goals, market practice and legal risk.
· Exhibit sound practical judgment with a commercial, client-service orientation and focus on efficiency.
· Excellent communication, interpersonal and organizational skills, including the ability to work cross-functionally, manage multiple workstreams and explain complex legal issues clearly and concisely.
· Demonstrated initiative, strong integrity, a collaborative approach and a commitment to continuous improvement, including openness to new tools and technology that can increase efficiency.
· Strong interpersonal skills and a positive work ethic. High level of integrity.
· Willingness to learn new topics and work in an evolving business environment.
· Experience with legal AI tools is a plus.
