Job Profile
Banyan Software is seeking to add an exceptional Legal Counsel to join its legal team in the UK & Europe. The successful candidate will work alongside the General Counsel and the European Legal Director, and where appropriate, outside counsel, to provide legal support and advice on a wide variety of M&A matters across the United Kingdom, the European Union, Australia, and New Zealand.
Key Accountabilities and Responsibilities:
- Assist in all stages of the acquisition processes in multiple jurisdictions, including coordinating due diligence, drafting and negotiating letters of intent and definitive transaction documents and supporting post-completion integration.
- Support portfolio companies in contract review and negotiation, drafting and editing for various business agreements including contracts related to customers, vendors, suppliers, manufacturers, product formulators and distributors, sales partners, product collaborations, and other contracts related to intellectual property, real estate, operations, supply chain and product development.
- Support portfolio companies and Banyan HQ with regulatory compliance (e.g., GDPR, etc.) and HR matters (e.g., employment agreements, consulting agreements, commission agreements, sales rep agreements, etc.).
Education and Professional Skills/Knowledge:
- A degree in Law or equivalent qualification.
- Qualified as a solicitor in England and Wales, or Germany.
- 3 years PQE (or German equivalent) of M&A experience ideally in an international law firm, with in-house commercial experience, specifically in the Software/Technology industry being a strong asset.
- Proficiency in the German language (oral and written) is required. Business-level German would be highly valuable for this position.
- High-energy self-starter and a team player with strong interpersonal skills.
- Ability to take ownership and thrive in a fast-paced entrepreneurial environment.
- Excellent drafting and communications skills.
- Strong organizational skills, discipline and ability to manage multiple high-priority and cross-jurisdictional projects and meeting deadlines in a fast-paced environment.
- Strong decision-making abilities, attention to detail, and ability to give executive-level guidance and direction in a timely manner.
Location + Travel
- The role will be based from our office in the City of London and we are looking for candidates who are happy working in a hybrid pattern of being in the office 2+ days per week, to include at least a Tuesday and/or Thursday.
- Extensive travel is not expected in this role, but there may be a need to travel to our other European entities or our global HQ in Toronto, Canada a couple of times a year.
