Join us as a Group Legal Counsel, based in the UK, and you’ll do the same.

We are looking for a highly motivated Legal Counsel to join our high-performing legal team. Reporting into the VP, Deputy General Counsel; this is an exciting opportunity to play a pivotal role in supporting Convatec’s continued successful growth. The Legal Counsel is responsible for providing strategic legal advice, guidance, direction and partnership across a wide variety of legal matters including Corporate Transactions.

YOUR PROFILE

  • Track record of delivering high quality work and ability to prioritise through excellent organisation and ability to understand key business drivers.
  • 3-5 years PQE in a Corporate/M&A or Transactions role, preferably with a combination of law firm and in-house experience; either through a permanent role or a significant period on secondment.
  • Experience operating in an international context, through law firm engagement or as part of a multinational corporate organisation.
  • Strong technical legal skills, with experience in a broad range of commercial contracts, highly solutions-focused and agile, able to see the bigger picture.
  • Exercise strong commercial judgement, through a considered approach which anticipates the needs of the business and appropriate weighs benefits and risk.
  • Tech-savvy and demonstrable interest in adopting legal tech tools to increase efficiency and impact across the organization.
  • Create a sense of purposes or vision for self, group or team, demonstrating a strong team-orientated and collaborative mind-set.
  • A motivated self-starter, comfortable taking the initiative and leading on issues, and the ambition to develop an in-house career within a general counsel function.
  • Excellent communication, analytical and problem-solving skills, with the ability to manage multiple priorities in a fast-paced environment.
  • Adaptable, with a proactive approach suited to a fast-growing, mission-driven business.
  • Experience within the medical devices sector is desirable but not essential.

YOUR RESPONSIBILITIES

  • Provide accurate and timely legal advice to stakeholders across the business on a variety of group legal matters, including coordinating closely with other business areas such as Compliance, Treasury, Tax, Finance, and HR.
  • Transaction management: working with VP, Deputy General Counsel to lead and manage M&A transactions and strategic projects across the Group, including due diligence, negotiation, drafting, and review of transaction documents,
  • Provide strategic legal advice to senior management and other stakeholders on M&A opportunities, risks, and implications.
  • Conduct thorough due diligence investigations to identify potential legal risks and liabilities associated with target companies.
  • Assisting with major Corporate and Finance transactions including fundraisings.
  • Drafting and negotiating key commercial contracts including logistics and distribution agreements.  
  • Collaborate with cross-functional legal and compliance teams to ensure adherence to applicable laws, regulations, and industry standards.
  • Drive efficiencies and consistent best practices across the legal function, including contributing to know-how and maintenance of template agreements.
  • Collaborate with cross-functional teams to support the development, implementation, and maintenance of policies and procedures and drive legal initiatives.
  • Manage external counsel including effective budget management.
  • Support ongoing training and preparation of educational resources to promote legal awareness and compliance within the organization.
