Transaction Advisory Services: Financial Due Diligence - Senior Manager

CFGI, founded in 2000 by former Big 4 professionals, is a dynamic and fast-growing financial consulting firm serving as a trusted partner to CFOs and their organizations. We help clients tackle complex challenges across accounting, financial reporting, transactions, regulatory compliance, tax, and business transformation.

We blend deep technical expertise with a hands-on, entrepreneurial approach to help leading public, private, private equity-backed, and emerging companies move forward with confidence. Without the restrictions of auditor independence, our professionals have the flexibility to provide practical, creative solutions to complex business challenges.

We are actively expanding our Transaction Advisory Services practice in the UK and are seeking an experienced Senior Manager to support and lead complex buy-side and sell-side financial due diligence engagements for corporate and private equity clients.

What you might expect:

  • Lead and support buy-side and sell-side transaction advisory engagements, providing financial and business due diligence assistance to corporate and private equity clients.
  • Analyse target company financial information to identify historical and projected operating trends, quality of earnings and assets, pro forma financial information, working capital considerations, debt and debt-like items, and other potential liabilities or risks.
  • Assess financial matters that may impact transaction valuation, deal structure, and negotiations with target companies.
  • Lead and coordinate multiple complex engagements simultaneously while maintaining quality and meeting transaction deadlines.
  • Manage and coordinate engagement activities across clients, CFGI engagement teams, and third-party diligence providers throughout the transaction process.
  • Develop and review financial analyses, due diligence workpapers, client-ready reports, and presentation materials.
  • Work closely with senior team members and client stakeholders throughout the transaction lifecycle.
  • Mentor and develop junior team members through technical review, coaching, and on-the-job development.
  • Contribute to client relationship management, proposal development, recruiting, and broader practice development initiatives.

What you must have:

  • At least 8 years of experience in assurance and/or transaction advisory at a Big 4 firm.
  • Professional services experience, including experience supporting or leading complex client engagements.
  • Exposure to private equity transactions, including experience working with private equity clients and/or their portfolio companies.

What sets you apart:

  • Experience supporting or leading buy-side and sell-side financial due diligence engagements.
  • Experience analysing quality of earnings, working capital, debt and debt-like items, historical and projected financial performance, and other transaction-related financial considerations.
  • Strong current knowledge of IFRS, UK GAAP, and/or other accounting principles relevant to transaction advisory engagements.
  • Experience managing multiple complex engagements, workstreams, and stakeholder groups simultaneously.
  • Experience coordinating directly with clients, engagement teams, and third-party diligence providers throughout a transaction process.
  • Advanced Microsoft Excel skills used for financial and data analysis, including PivotTables, lookups, arrays, Power Pivot, Power Query, and related functionality.
  • Experience preparing and reviewing client-ready financial analyses, due diligence reports, and presentations.

Nice to have:

  • ACA, ACCA, CA, or another relevant professional accounting qualification.
  • Bachelor’s degree in Accounting, Finance, or a related field.
  • Experience working with private equity firms, strategic buyers, or corporate clients on transactions.
  • Experience across both assurance and transaction advisory engagements.

Who thrives here:

  • Excellent interpersonal, written, and verbal communication skills with the ability to build strong relationships with clients and engagement teams.
  • Strong analytical and critical-thinking abilities.
  • Highly organised with the ability to manage multiple engagements, priorities, and tight transaction deadlines.
  • Entrepreneurial, self-motivated, adaptable, ethical, and dependable.
  • Comfortable operating in a fast-paced transaction environment where workload may increase around critical deal deadlines.
  • High energy with a commitment to delivering exceptional client service while mentoring and developing junior team members.
