Job Description

General Summary:

This position provides legal and contracting support for assigned functions such as corporate governance, commercial, and general and administrative.

Key Duties and Responsibilities:

  • Draft and review, with minimal counsel supervision, a wide range of legal documents such as correspondence, contracts, regulatory filings, corporate governance documents, etc.
  • Support the Corporate Governance and Legal Entity Management Team in all governance matters and management of Vertex’s legal entities and assume significant independent responsibility for such matters. 
  • Perform legal research and analyze relevant statutes, decisions, codes, and other guidance, as needed, providing findings to counsel.
  • Manage and liaise with external local counsel to draft/review documents related to entities, including board and shareholder meeting minutes and other compliance documentation.
  • Within established company and legal requirements, support contract operations, negotiations and interpretation for a range of contracts, including service agreements, consulting agreements and confidentiality agreements.
  • Partner with attorneys during document preparation and negotiation with respect to relevant legal or contractual provisions/requirements.
  • Manage a high volume of legal documentation under tight timelines.
  • Assist in responding to KYC and UBO confirmation requests for Vertex’s global entities.
  • Support ongoing company-wide initiatives, including policy development, template standardization and adoption of contract-related technologies.
  • Train and guide business teams on the use of legal routine, non-standard or more complex contract templates, issues and best practices.
  • Communicate effectively and in a timely manner with the business.

Key Requirements:

  • A Bachelor's degree, Associate's degree or paralegal certification.
  • Excellent drafting and negotiation skills.
  • Ability to work independently with minimal supervision.
  • Excellent communication, organizational and time management skills.
  • Ability to multi-task and handle multiple assignments simultaneously in a fast-paced, deadline-driven environment.
  • Excellent attention to detail.
  • Strong experience working within a complex global organization.
  • Familiarity with international corporate governance.

Position is Remote.

In this Remote-Eligible role, you can choose to be designated as: 
1.    Remote: work remotely five days per week and come into the office on occasion – you’re always welcome on-site; or select 
2.    Hybrid: work remotely up to two days per week; or select
3.    On-Site: work five days per week on-site with ad hoc flexibility.
