Role:                         Corporate & Commercial Paralegal (In-house)

Location:                  Leeds, LS15 8GB We operate a hybrid schedule, 1-2 days onsite per week

Salary:                      £Competitive DOE, plus extensive benefits

Working hours:                  Monday - Friday 37.5 hours per week, We work on a core hours principle. Our core hours are 09:30 - 16:00;  you can work around these to suit you!

We are seeking a highly organised, commercially minded and proactive Corporate Governance & Commercial Paralegal to join our Privacy, Legal & Corporate Governance team. Supporting our Senior Legal Counsel and Director of Privacy, Legal & Corporate Governance, you will play a key role in delivering legal, governance and company secretarial support across the Group.

This is a fantastic opportunity to gain broad exposure to commercial contracts, corporate governance, company secretarial matters, compliance initiatives and strategic legal projects. Working closely with business units and subsidiary companies, you will provide practical legal and governance support that helps the business operate effectively, compliantly and efficiently.

What you’ll be doing?

Commercial Contracting & Legal Support

  • Draft, review and negotiate a range of commercial and technology-related agreements, including NDAs, software licences, consultancy agreements, supplier contracts and terms & conditions
  • Manage contracts from initial instruction through to execution and post-completion governance
  • Maintain legal systems, contract databases, DocuSign and legal matter management platforms
  • Support contract approval processes, template development and legal governance activities
  • Conduct legal research and assist with legal advice, documentation and business stakeholder support

Corporate Governance & Company Secretarial

  • Support the Group and its subsidiary companies with company secretarial and corporate governance activities
  • Maintain statutory records, governance documentation and entity management records
  • Assist with board and shareholder meetings, corporate approvals, resolutions and Companies House filings · Support the continuous improvement of governance policies, procedures and frameworks

Compliance & Risk Management

  • Support anti-bribery, anti-corruption and modern slavery initiatives
  • Assist with the Group’s Code of Conduct and Ethics programme
  • Maintain legal and governance records including the legal risk register
  • Assist with internal audits, external auditor requests and regulatory enquiries

Strategic Projects & Stakeholder Support

  • Act as a trusted legal and governance contact for business units and subsidiary companies across the Group · Support strategic projects, partnerships, corporate transactions and business initiatives
  • Prepare reports, summaries and guidance to support informed decision-making
  • Assist the legal and governance team in protecting and advancing the interests of the Group

Who are we looking for?

  • Degree, Paralegal qualification or equivalent relevant experience
  • Previous experience in a paralegal, legal co-ordinator, legal assistant or company secretarial role
  • Experience working with commercial contracts and legal documentation
  • Knowledge of contract and commercial law principles
  • Experience supporting corporate governance or company secretarial activities would be advantageous
  • Familiarity with compliance, governance and risk management frameworks
  • Excellent communication and stakeholder management skills
  • Strong organisational skills and attention to detail
  • Proficiency in legal research, document management and Microsoft Office applications
  • A pragmatic, commercially minded and solutions-focused approach
  • Ability to manage competing priorities and work effectively across multiple business units and legal entities
