Job Responsibilities:
- Oversee and deliver corporate governance and company secretarial services for subsidiaries.
- Act as a strategic business partner to senior stakeholders, providing advice on governance and secretarial matters.
- Collaborate with the Head of OTS and global OTS colleagues to achieve strategic and operational objectives.
- Provide proactive support to boards and senior management on governance matters.
- Manage day-to-day governance and secretarial services, including board and committee operations.
- Monitor changes in corporate legislation and financial services regulations, recommending actions as needed.
- Coordinate information flows and agenda-setting for board and committee meetings.
- Serve as a key communication channel for board members, focusing on non-executive directors.
- Support board member onboarding, induction, and ongoing training.
- Drive governance enhancements and ensure compliance with regulatory requirements and internal policies.
- Build effective working relationships within OTS, demonstrating the Firm's core values.
Required qualifications, capabilities, and skills:
- Strong academic background at degree level.
- Part or fully qualified Company Secretary, Corporate Governance Professional, or Corporate Solicitor with at least one year of relevant experience.
- Proven execution in corporate governance and company secretarial matters, including interaction with non-executive directors.
- Experience delivering change and driving governance best practices.
- In-depth understanding of governance impacted by evolving laws and regulations in financial services.
- Ability to build and maintain effective relationships with board members and senior management.
- Self-motivated, goal-oriented, and resilient.
- Ability to work independently and as part of a wider team.
- Strong written and verbal communication skills, with maturity to engage at all levels.
- Excellent time management and ability to handle multiple projects with flexibility.
Preferred qualifications, capabilities, and skills:
- Experience in regulated financial services; knowledge of the payments industry is especially useful.
