Job Title: Commercial Counsel

Location: Galway (Hybrid) OR Solihull, UK (Hybrid)

Role Type: Permanent, Full time

Start Date: ASAP

Reporting to the General Counsel this position will provide legal support to our European business units and other global business activities including sales, HR, finance, product, marketing, and security. You will be the key point of contact for our European business interacting with senior executives. The ideal candidate will be business practices and will have a drive to “get the deal” done while mitigating risk for SOTI.

Position Responsibilities

  • Actively review, negotiate, draft and advise cross-functional team members in relation to SaaS licensing, DPA’s, RFP proposals, NDA’s, customer relations, supplier agreements, and other commercial agreements as needed.
  • Working collaboratively with sales, finance, product, security, and other teams to identify and mitigate risks and determine creative solutions in service of SOTI’s corporate objectives
  • Provide ongoing contract support, including training and coaching in connection with legal requirements, corporate policies, procedures and contract matters for various teams across SOTI
  • Developing employment-related policies and procedures within the UK, Ireland, and other European countries
  • Support human resolutions with employee matters such as: wage and hour laws, recruiting, performance management, leaves of absence, benefits, terminations, and employment-related regulations
  • Communicating with and managing external counsel as needed
  • Contribute as a team player to help further the standing of the legal department as an effective, respected, and valued resource within SOTI
  • Other duties as may be assigned from time to time

Position Responsibilities

  • Negotiate various SaaS-related agreements, including Reseller Agreements, MSP Agreements, Distributor Agreements, Master License Agreements, DPA’s, NDA’s, and supplier agreements
  • Work collaboratively with sales, finance, product, security, and other teams to mitigate risks
  • Train sales, marketing, and other internal teams on legal requirements & corporate policies
  • Other duties as may be assigned from time to time

Skills Required

  • 4+ years of experience (with at least 2+ years as in-house privacy counsel at a SaaS company)
  • A lawyer in good standing licensed to practice
  • J.D. or LL.B.
  • Ability to speak English
  • Pragmatic approach to complex issues
  • Ability to work independently with minimal supervision
  • Concise and effective communication
  • Positive attitude and eagerness to learn and take on new challenges
  • Native french speaker (desired not essential)
