Job Description

The Role

To support the continued growth of BIG’s European investment activity, BIG is looking for a European legal counsel to join its team in London as an Associate, Investments. 

The Associate will support BIG’s European head of legal in providing legal advice and support in relation to transactional, corporate and portfolio management activities, working closely with the global investments team, which currently spans Europe, North and South America and Asia Pacific.  This mandate will include functioning as legal counsel to all of Brookfield’s private infrastructure funds, including its flagship $30b buyout fund. 

This role is ideally suited to a proven outstanding performer who is self-motivated and seeks to join a collaborative, dynamic and growing asset management company.

Responsibilities:

  • Providing legal advice on a wide range of legal and business issues relating to the activities of BIG and its portfolio companies, particularly within Europe.

  • Supporting BIG in connection with its acquisition and divestiture activities, including the preparation of transaction documents, management of legal due diligence, development of investment structures and facilitation of fundraising activities (including the formation of investment consortia and co-investment arrangements).

  • Assist with material portfolio management transactions including bold-on acquisitions, refinancings, inter-company reorganizations and executive projects.

  • Preparing and reviewing early-stage transaction documentation (such as confidentiality agreements, memoranda of understanding and related term sheets), shareholder and governance agreements, financing agreements, fund related agreements, management incentive agreements and other legal documents, and working with the investment and portfolio management teams to operationalize.

  • Assisting in developing and implementing legal policies, processes, and standards, including risk management strategies, corporate policies and compliance programs.

  • Participate in meetings and communicate with internal investment, portfolio management, fund compliance, capital markets and development teams and supervise outside counsel ensuring costs are kept to a minimum and core information is maintained internally.

Requirements:

  • A minimum of 3-4 years PQE practicing in a top tier international law firm, with a focus on executing complex cross-border private equity transactions (preferably with exposure to public mergers and acquisitions, shareholder and governance agreements, and fund related arrangements).  

  • Law degree from a top tier law school, with a demonstrated high-level of academic achievement, and membership in good standing with the Solicitors Regulatory Authority (or equivalent).

  • Pragmatic, pro-active and organized, with an ability to prioritise tasks and manage a number of matters at once.

  • Strong analytical and problem-solving skills combined with exceptional attention to detail and thoroughness.

  • Experience with transactions within one or more infrastructure sectors would be considered an asset but is not a prerequisite.

  • Comprehensive knowledge of English law; some demonstrated experience with international legal systems would be considered an asset but is not a prerequisite.

  • Demonstrated ability to provide practical, business-oriented legal advice and recommendations.

  • Strong communication skills; ability to present clear and practical legal arguments.

  • Ability to work in a dynamic, fast-paced, global environment and to adapt quickly to changing priorities.

  • Highly self-motivated and proactive; strong work ethic; eager to take ownership over work product and able to advance work independently.

  • Team-oriented; demonstrates a commitment to shared success with a willingness to wear multiple hats.

  • Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization.

  • Excellent organizational skills and capability to effectively manage priorities while meeting timelines.

This position is based in London, England and may require travel, from time to time, dependent upon project/transaction dynamics.
